- Law degree from a recognized Vietnamese university
- 4+ years of relevant legal experience, with substantial practical experience in Vietnam; in-house experience is strongly preferred.
- Strong practical knowledge of Vietnamese labour and employment law, including employment contracts, internal labour regulations, disciplinary procedures, terminations, social insurance, work permits and other employment-related requirements.
- Hands-on experience with the establishment, maintenance and corporate governance of Vietnamese legal entities, including foreign-invested companies/LLCs and representative offices.
- Practical knowledge of foreign investment and corporate registration requirements in Vietnam, including entity establishment, changes to corporate registrations, licences, regulatory filings, restructuring and entity closure.
- Experience supporting companies with foreign corporate shareholders/owners and cross-border corporate structures.
- Strong knowledge of Vietnamese corporate, commercial, contract, compliance, data-protection and other business-related regulatory requirements.
- Experience drafting, reviewing and negotiating commercial and employment agreements in both Vietnamese and English.
- Experience with international commercial contracts, including NDAs, software/licensing agreements, distribution and reseller agreements, customer agreements, vendor/service agreements.
- Ability to conduct legal research and risk analysis relating to jurisdictions outside Vietnam, particularly the United States and Europe.
- Fluent Vietnamese and strong professional English, including the ability to draft and negotiate legal documents in English.
- Vietnamese lawyer practising certificate is preferred but not mandatory.
- Practical, commercially minded, detail-oriented and able to provide clear, business-focused legal recommendations.
- Ability to work effectively with management, HR, Finance, Sales, Marketing, Operations and other internal teams, as well as government authorities and external advisers.

Responsibilities:Act as the primary in-house legal resource for the company's operations in Vietnam and provide practical legal advice on Vietnamese labour, corporate, commercial, contractual, compliance and regulatory matters.Support the establishment and ongoing operation of the company's legal presence in Vietnam, whether through a representative office, foreign-invested LLC/company or other appropriate structure.Handle and coordinate Vietnamese corporate matters, including entity establishment, registrations, licences, corporate changes, periodic filings, restructuring and closure procedures.Advise on corporate governance and legal requirements arising from ownership of a Vietnamese entity by a foreign parent company.Advise on Vietnamese employment matters, including employment contracts, internal labour regulations, disciplinary procedures, terminations, social insurance, work permits and other employment-related requirements.Draft, review and negotiate commercial agreements, including NDAs, software and licence agreements, distribution and reseller agreements, customer contracts, vendor/service agreements and other commercial documents.Support the company's international legal work, including researching and analysing legal risks in jurisdictions where the company operates.Support legal compliance across business operations, including data protection/privacy, sales, marketing, employment, finance/accounting and other operational areas.Work closely with HR, Finance, Operations, Sales, Marketing, software/product teams and management to identify legal risks and provide practical solutions.Communicate and coordinate with Vietnamese government authorities, law firms, accounting firms and other external advisers.Draft and maintain internal policies, procedures, legal guidelines, corporate documents and compliance documentation.Monitor changes in Vietnamese laws and regulations and assess their impact on the company's operations.
